This license is a legal agreement between you and the VaultWiki Team for the use of VaultWiki software ('the Software'). VaultWiki is a copyrighted work and is protected under the applicable database laws. The VaultWiki Team, a division of Cracked Egg Studios, LLC, retains ownership of the Software and any copies of it, regardless of the form in which the copies may exist. This license is not a sale of the original Software or any copies, but of the following rights and limitations.

By downloading the Software, you confirm your intent to use it and you agree to the following terms and conditions. Such agreement is either on your own behalf or on behalf of any corporate entity which employs you or which you represent ('Corporate Licensee'). In this agreement, 'you' includes both the reader and any Corporate Licensee, should they be separate entities, and 'VW' refers to the VaultWiki Team:

1. General

For the purposes of this agreement, the term 'VaultWiki Lite' shall refer to the free trial version of the Software, which has no expiration date and contains limited functionality. The term 'VaultWiki Premium' shall refer to the complete version of the Software typically associated with a paid subscription. The term 'Web Site' shall refer to the web site located at URL https://www.vaultwiki.org/, its content, and/or its services.

2. Download Access

Before downloading the Software, you ensure that all parties are notified of the terms of this agreement.

VW determines which versions of the Software are available for download at any time. VW has the right to remove download access for any version that it deems unsafe for use, provided that:
  • The version has reached End-of-Life (EOL), where the difference between the present date and the version's release date exceeds 365 days; OR
  • The version is an Alpha, Beta, or Release Candidate (RC) release; OR
  • VW replaces the version with a Patch Level (PL) release that it deems safe.

2.1 VaultWiki Lite

VaultWiki Lite may be downloaded, without payment to VW, from any resource at:VaultWiki Lite may also be downloaded, without payment to VW, via the Members area of the Web Site (https://www.vaultwiki.org/members/). In this case, before downloading VaultWiki Lite, you must submit the URL where you are using (or plan to use) each license. Collection of this information allows VW to uniquely identify your installation so that VW can provide custom-tailored download packages if additional services are purchased by you.

Other resources are not authorized by VW, are in violation of this agreement, and the integrity of the file contents may be suspect.

VaultWiki Lite may not be reproduced or redistributed, in whole or significant part, except on the aforementioned sites by the authorized users.

2.2 VaultWiki Premium

Before downloading VaultWiki Premium, you must submit the URL where you are using (or plan to use) each license. The URL can be submitted via the Members area of the Web Site (https://www.vaultwiki.org/members/).

2.2.1 Annual Subscription

If your license has an associated Annual subscription, you may download any available version of the Software for 365 days from the purchase of the license, provided that the version has not been deemed unsafe for use, and provided that you affirm your acceptance of the newest version of these terms at the time of download. You can extend this period in increments of 365 days by purchasing License Renewal services or by activating automated renewals.

This right expires if your subscription remains unpaid at the end of the term. When this right expires, you may still download versions of the Software whose release dates occurred prior to the time of expiration, provided that version is still available for download, and provided that you affirm your acceptance of the newest version of these terms at the time of download.

2.2.2 Monthly Subscription

If your license has an associated Monthly subscription, you may download any available version of the Software for 30 days from the purchase of the license, provided that the version has not been deemed unsafe for use, and provided that you affirm your acceptance of the newest version of these terms at the time of download. You can extend this period in increments of 30 days by purchasing License Renewal services or by activating automated renewals.

This right expires if your subscription remains unpaid at the end of the term. When this right expires, you may still download versions of the Software whose release dates occurred prior to the time of expiration, provided that version is still available for download, and provided that you affirm your acceptance of the newest version of these terms at the time of download.

2.2.3 Lifetime Subscription

If your license has an associated Lifetime subscription, you may download any available version of the Software, provided that the version has not been deemed unsafe for use. This right does not expire until your or VW terminate your license.

3. Permitted Use

Forum installations and test forums are subject to the rules and regulations set forth by the appropriate Forum License Agreement, held between yourself and the company who issued the license and/or Forum Software and who is not affiliated with VW in any way.

3.1 VaultWiki Lite

VaultWiki Lite license grants you the right to run unlimited instances of the Software on any Forum installation(s) (e.g. vBulletin, XenForo, IP.Board).

3.2 VaultWiki Premium

VaultWiki Premium license grants you the right to run one instance (a single installation) of the Software with one Forum installation (e.g. vBulletin, XenForo, IP.Board) for each license purchased.

If you have a valid Software license, you may install it on a valid test Forum in order to test the Software.

4. Restrictions

The Software is licensed only to you. You may not sell, rent, lease, or dispose of the Software in any way, in whole or in part, without express written consent from VW.

You will treat the source code of the Software as confidential, and will not at any time during the license period or after its termination, disclose this data to any third party without express written consent from VW.

You will not use the Software for any illegal purposes. The Software may not be used for anything that would represent or is associated with Intellectual Property violation.

The license is effective until terminated. You may terminate it at any time by uninstalling the Software and destroying all copies, regardless of form.

If any of the terms of this Agreement are violated, VW reserves the right to terminate the Software license at any time.

VaultWiki may not be integrated into any stand alone third-party software applications, with the following exceptions: VaultWiki products and modifications; Forum products and modifications that require at least one of the same Forum Software packages already required by VaultWiki. For a public release, the integration must only be available to other VaultWiki licensees, or must not reveal the Software source code in significant part.

4.1 VaultWiki Premium

For each installed instance of the Software, a separate license is required. For multiple domain installations, contact VW to find out if your setup can be covered under a single license.



5. Refunds

By downloading the Software and affirming this Agreement, you waive your right to withdraw from any transaction(s) which include license to the Software, modified your privileges under the license, or renewed any current privileges.

Because the Software is visible source digital content, it is not possible to return the Software after it has been downloaded. Under applicable law, a buyer's remedy for faulty digital merchandise is typically limited to repair or replacement of the faulty item.

Within 14 days of purchase, if you are unable to install the Software or a basic function of your web site becomes unusable while the Software is installed and active, you must request support via: the Support tab on this Web Site, and/or by filing a free ticket on this Web Site.
  1. If VW determines that the reported condition is due to misconfiguration or other user error, VW shall provide you with instructions for how to resolve the issue.
  2. If VW confirms that the reported condition on your web site is due to: a flaw in the Software; or an incompatibility, if that incompatibility was not disclosed by VW prior to the date of purchase in our Minimum Requirements;
    1. VW shall have 14 days from the date of such request to repair the reported condition. If VW determines that a repair cannot be made within that time, VW shall refund the original purchase price.

For a purchased one-time service, if VW deems that it has not completed any portion within the service's scope at the time of purchase within a period of 14 days of such purchase, or longer period as specified by prior agreement, VW shall refund a partial amount of the purchase price based on the number and/or scale of items already completed. If the completed items are not practically separable, VW shall refund the original purchase price in full.

6. Software Modifications

The Software source code may be altered at your own risk.

If you are downloading a Premium VaultWiki add-on product (the Addon) from VW, you agree that the terms and conditions of the VaultWiki License Agreement for VaultWiki Premium also apply to your use of the Addon and the definition of the "Software" is automatically expanded to include the Addon. Your license to the Addon is effective as long as your VaultWiki license remains effective. If at any time your VaultWiki license is terminated, the Addon license terminates simultaneously.

The Licensee may elect to purchase an "Add License Options" service to remove VaultWiki copyright notices. In this case, the copyright notices will automatically be disabled in subsequent downloads of the Software. The Branding Removal service only includes removal of copyright notices from the footer; it does not also include removal of Software advertisements.

If this option is purchased on a Monthly or Annual basis and the subscription expires or is renewed after disabling this option, you must update the Software installation so that the copyright notices are restored.

6.2 VaultWiki Lite & Software Advertisements

In VaultWiki Lite, any advertisements for the Software in public notices or administrative notices must remain unchanged (and visible).

The Licensee may elect to remove Software advertisements by either:
  • Purchasing a VaultWiki Premium License from VW and upgrading the Software installation, OR
  • Purchasing an "Add License Options" service to remove the advertisements and subsequently updating the Software installation.

    If this option is purchased on a Monthly or Annual basis and the subscription expires or is renewed after disabling this option, you must update the Software installation so that the advertisements are restored.

7. Disclaimer of Warranty

The Software and its files are provided "As Is" without warranties as to performance of merchantability or any other warranties whether expressed or implied, including but not limited to, warranties of quality, performance, or fitness for a particular purpose. VW does not warrant that the Software or any related service will always be available.

8. Limitations of Liability

VW does not monitor wikis powered by the Software or their related sites. VW is not liable for the content of any page published on any site that uses the Software.

VW cannot be held responsible and accepts no liability for any failure in transmission by you or for any transmission by you received in an unintelligible form.

You must assume the entire risk of using the Software. Any liability of VW will be limited exclusively to product replacement or refund of purchase price.

Except in respect of personal injury or death caused directly by the negligence of VW, in no event will VW be liable to you for any damages, including lost profits, savings, data, or any indirect, special, incidental, or consequential damages arising from the use or inability to use the Software, even if VW has been advised of damages, except where required by law.

8.1. Data and Security Vulnerabilities

In the event of data loss or security vulnerabilities, known internally or reported to VW, VW's liability is limited to addressing, or making a reasonable attempt to resolve, each issue within 30 days of VW's confirmed knowledge of such issue, by:
  1. Making a reasonable attempt to notify customers about the issue; AND
  2. One of:
    • Releasing a patched version of the Software with such intent; OR
    • Providing instructions that a customer can follow to prevent the issue.
In the event of a patch, VW agrees to provide patches for vulnerable versions originally released within 365 days prior to the patch release, except where the version is already EOL or is an Alpha, Beta, or Release Candidate (RC) release.

VW agrees to disclose the issue and notify customers of the availability of a patch, if any, via at least two (2) of the following methods:
  • Public announcement on VW's News portal (https://www.vaultwiki.org/news/), to which customers can subscribe via RSS; OR
  • Public announcements on social media sites such as Facebook or Twitter, which customers can follow; OR
  • Direct email notifications, to which customers can optionally subscribe via tools on VW's Members tab; OR
  • Public disclosures in VW's security database (https://www.vaultwiki.org/pages/Book...ulnerabilities), to which customers can subscribe via email or RSS

VW is not liable for failure by customers to subscribe to these sources or to manually review these sources. VW is not liable for a customer's inability to receive subscribed notifications for any reason, including but not limited to, the customer's technical savvy, providing an incorrect or out-of-date email address, SPAM or bulk email filters, or blocks placed by the customer's internet service provider.

VW is not liable for any occurrence of a vulnerability, especially failure by a customer to take the appropriate steps to resolve that vulnerability, taking place after a resolution for the same has been published by VW.

VW is not liable for any data loss or security vulnerability resulting from:
  • Any modification of the Software by the customer or a third party; OR
  • Raw HTML content posted by the customer or a user of another web site the customer operates.

9. Technical Support

Technical support is available only through the Web Site. VW does not provide direct email or phone support. No representations or guarantees are made regarding the response time in which support questions are answered.

Technical support is provided as an additional service by VW employees to the Licensee. Any correspondence with its employees that VW may deem inappropriate, including but not limited to, badgering, harassing, or making demands that are prohibited under the terms of the License Agreement, may result, at the discretion of VW, in the discontinuation of support, the termination of the Software license, and/or the termination of membership at VW web sites.

Technical support is not provided for EOL versions of the Software or for other versions that have been deemed unsafe for use. If your installation uses such a version, you must update to a safe or more current version in order to qualify for support.

9.1 VaultWiki Lite

Limited technical support is available to any user with a Software installation, provided the Software installation has been kept up to date with any upgrades, updates, or patches. Priority support is always given to Premium Licensees.

9.2 VaultWiki Premium

Technical support is only available to the original purchaser of the Software license, provided the Software installation has been kept up to date with any upgrades, updates, or patches.

9.2.1 Annual Subscription

If your license has an associated Annual subscription, you may be provided technical support for 365 days from the purchase of the license. You can extend this period in increments of 365 days by purchasing License Renewal services or by activating automated renewals.

9.2.2 Monthly Subscription

If your license has an associated Monthly subscription, you may be provided technical support for 30 days from the purchase of the license. You can extend this period in increments of 30 days by purchasing License Renewal services or by activating automated renewals.

9.2.3 Lifetime Subscription

If your license has an associated Lifetime subscription, you may be provided technical support until you or VW terminates the license.

10. License Modifications

If you purchase additional options via an "Add License Options" service, these will be added to your existing license for the remainder of the current license term. These options are pro-rated based on the full remaining time on your license and the expected added time by outstanding License Renewals.

If your license has additional options that you have already purchased, via an "Add License Options" service or otherwise, you may elect to disable these options prior to purchasing a License Renewal service, whether to stop using the option temporarily, or to avoid incurring an increased License Renewal charge.

If an option is disabled, it will not be updated by applying a License Renewal service. Once your access to that option expires, you must purchase the option again if you want to re-enable it.

10. Subscription Modifications

If your license has a corresponding Monthly or Annual subscription, you may, at your discretion, change your subscription term to another of: Monthly, Annual, Lifetime. This can be achieved by purchasing a License Renewal service of the desired type.

11. Automatic Renewals

If your license has a corresponding Monthly or Annual subscription, you may, at your discretion, configure Automatic Renewals for your license.

Automatic Renewals provide unattended License Renewal services, for which you are billed automatically, whenever your current subscription term is about to end.

If your license has additional options that you have already purchased, via an "Add License Options" service or otherwise, you will be automatically billed for the options that were already activated when Automatic Renewals was first configured, whether or not those options are currently activated.

If an option was disabled prior to configuring Automatic Renewals, this option will not be updated by an Automatic Renewal. Once your access to that option expires, you must purchase the option again if you want to re-enable it.

Purchasing additional license options will automatically cancel Automatic Renewals for that license. Once your license is updated successfully, you can re-configure Automatic Renewals.

You may pause Automatic Renewals for any of your licenses at any time by modifying your subscription settings for that license. You will not be billed for any new terms until Automatic Renewals are reactivated.

If Automatic Renewals remain paused for 5 days beyond the next billing date, Automatic Renewals will automatically be cancelled for that subscription.

You may implicitly cancel Automatic Renewals at any time by purchasing a separate License Renewal service for the same subscription.

If your license and/or account is terminated, your Automatic Renewals will automatically be cancelled.

If at any time Automatic Renewals for a license are cancelled, any outstanding balance for that subscription will be automatically billed.

11.1 Financial Disclaimer

VW does not store, or have access to, your sensitive financial information in order to manage Automatic Renewals. Your information is maintained by a secure third-party payments processing service.

12. License and/or Account Termination

If at any time you elect to terminate your license or your account at Web Site, the following will be effective, regardless of your race, gender, disability, sexual orientation, or nationality.

Your prior license information will be maintained in order to keep an accounting of previously issued license numbers and their intended recipients. This shall prevent possible duplicate numbers and offer protections against piracy of terminated licenses.

Your prior forum posts and support topics from during your license tenure will be preserved for support and development reference.

If your license reflects any outstanding balances from Automatic Renewals, VW will occasionally attempt to collect that balance, and your billing contract will be preserved until that balance is collected.

Any attempt to undermine or subvert these terms when cancelling your account is a violation of this agreement and may be considered criminal acts of vandalism or fraudulent behavior.

12.1. Account Anonymization

If your Web Site account has been anonymized, such as via GDPR's Right to Be Forgotten, your license details are no longer connected to you and that connection cannot be recovered. In this event, it is impossible to determine whether you are the same entity which entered into this agreement, so the rules set forth by 12.2 apply.

12.2. Termination by VW

VW may terminate any agreement between you and VW at any time and without penalty, provided:
  • The terms of this agreement have been violated by you; OR
  • You have chosen to become anonymous.

In this event, you must completely uninstall the Software and destroy all copies in your possession, regardless of form.

13. License Inspection

Occasionally, VW may inspect your license integrity. This will be done without collecting any information about your server or your users, except your license number and the domain (or domains, where special approval was given) on which the Software is run. Should VW discover discrepancies in the software usage, be aware that you may face forfeiture of your Software license and/or legal action for charges of Software Piracy. Your information will not be shared with third parties, except as required by such legal action or a court order.

14. License Gifts and Transfers

You may, at your discretion, request VW to transfer a license associated with your own account to another party's account at Web Site. When the request is fulfilled, you thereafter give up all rights and subscriptions associated with that license, and they are instead applied to the other party's account. Any downloaded copies that are associated with that license that are stored on your home computer or any other device that is not the Software's current installed location must be destroyed.

In your request, provide the license number you wish to transfer and the username for the account of the intended recipient.

14.1 Transfer Limitations

VW reserves the right to approve or decline any transfer request that does not meet these requirements.

Licenses may only be transferred between accounts in good standing. If either you or the intended recipient have an outstanding uncollected balance on your account, the transfer request will not be approved until all balances are settled.

Licenses may only be transferred when there is at least five (5) days remaining in the subscription period at the time the request is submitted. If there are fewer than five (5) days remaining, or if the subscription has already expired, the transfer request will not be approved.

If a license has a subscription with an expiration date in the future, each license may only be transferred one (1) time every thirty (30) days. If the license was last transferred within less than thirty (30) days, the transfer request will not be approved.

If a license has a lifetime subscription with no expiration date, each license may only be transferred one (1) time. If the license was ever transferred before, the transfer request will not be approved.

If the intended transfer recipient has an account that has been banned, the transfer request will not be approved.

If the intended transfer recipient has any licenses that were terminated by VW for violating this Agreement in the past, the transfer request will not be approved.

15. Compulsory Liquidation

In the event of compulsory liquidation of ownership, currently Cracked Egg Studios, LLC, on the grounds that the number of members falls below the minimum prescribed by statute, the Software shall thereafter be released to the community under the GNU General Public License version 3 to continue the project and do with as they please.

16. Severability

If any provision of this agreement shall be declared by any court of competent jurisdiction to be illegal, void, or unenforceable, the other provisions shall not be affected but shall remain in full force and effect.

17. Amendments and Reservations

VW reserves the right to modify these terms at any time, for any reason, without notice. These newer terms shall only apply to an existing agreement if you reaffirm the Agreement under the new terms; otherwise, the agreement text as of the time of your last affirmation will be effectual.

This Agreement is governed by the laws of the State of New York in the United States.

This Agreement constitutes the complete statement of the agreement between you and VW, and supercedes all representations, understandings, or prior agreements between you and VW.
